Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the Medic8 healthcare management platform ("the Service") operated by Chwezi Core Systems ("we", "us", or "our"), based at Sserumaga Road, Bukoto, Kampala, Uganda.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. If you are using the Service on behalf of a health facility or organisation, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Medic8 is a cloud-based Software-as-a-Service (SaaS) healthcare management platform. It provides tools for patient registration, outpatient and inpatient care, laboratory management, pharmacy, billing, inventory, and reporting. The Service is designed for clinics, hospitals, and health-related NGOs operating in Sub-Saharan Africa.

3. Account Registration and Responsibilities

To use the Service, you must register an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your account.
  • Notifying us immediately of any unauthorised use of your account.
  • Ensuring that all users at your facility comply with these Terms.

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

4. Subscription and Payment

Access to the Service requires a paid subscription. The following terms apply:

  • Pricing โ€” subscription fees are quoted in Uganda Shillings (UGX). Current pricing is published on our website and may be updated from time to time with reasonable notice.
  • Billing cycles โ€” subscriptions are billed monthly or annually, as selected at the time of purchase.
  • Payment methods โ€” we accept mobile money (MTN Mobile Money, Airtel Money), bank transfers, and other payment methods as made available through the platform.
  • Late payment โ€” if payment is not received within 14 days of the due date, we may suspend access to the Service until the outstanding balance is settled.
  • Refunds โ€” subscription fees are generally non-refundable. If you believe a charge was made in error, contact us within 14 days.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service for any purpose other than legitimate healthcare management.
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure.
  • Upload malicious software, viruses, or harmful code.
  • Share login credentials with unauthorised persons.
  • Use the Service to violate any applicable law or regulation.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service.

6. Intellectual Property

The Service, including its software, design, text, graphics, logos, and all related intellectual property, is owned by Chwezi Core Systems and protected by applicable copyright and intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for your internal healthcare management purposes. This licence does not include any right to modify, distribute, or create derivative works of the Service.

7. Data Ownership

Your facility owns the data it enters into the Service. We do not claim ownership of your patient records, financial data, or any other information you create or store within Medic8.

You grant us a limited licence to process your data solely for the purpose of providing the Service. Upon termination of your subscription, you may request an export of your data in a standard format. We will retain your data for 90 days after termination, after which it may be permanently deleted.

8. Service Availability

We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice where possible).
  • Emergency maintenance to address security or stability issues.
  • Factors beyond our control, including internet connectivity, power outages, or force majeure events.

Service level commitments, where applicable, are set out in your subscription agreement.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability for any claim related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
  • We are not responsible for clinical decisions made using information processed through the Service. The Service is a management tool and does not replace professional medical judgement.

10. Termination

Either party may terminate the subscription as follows:

  • By you โ€” you may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • By us โ€” we may suspend or terminate your access if you breach these Terms, fail to pay fees, or if required by law. We will provide reasonable notice where possible.

Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, governing law, and dispute resolution survive termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Uganda. Any legal proceedings arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Uganda.

12. Dispute Resolution

In the event of a dispute arising from these Terms or the use of the Service, the parties agree to attempt resolution through the following process:

  1. Informal negotiation โ€” the parties shall first attempt to resolve the dispute through good-faith negotiation for a period of 30 days.
  2. Mediation โ€” if negotiation fails, the parties agree to submit the dispute to mediation under the rules of the Centre for Arbitration and Dispute Resolution (CADER) in Kampala, Uganda.
  3. Litigation โ€” if mediation fails, either party may pursue the matter in the courts of Uganda.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
